These Terms of Service ("Terms") govern your access to and use of dpAnalyzer, including our website, web applications, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
We may update the Terms at any time. When we do, we will revise the "Last updated" date. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
You may use the Services only if you are at least 16 years old and capable of forming a binding contract. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity and that the entity accepts these Terms.
You are responsible for providing accurate account information and keeping it current. You are also responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access or use.
We reserve the right to suspend or terminate your account if we believe you have violated these Terms or if your activity could harm dpAnalyzer or other users.
Access to certain features may require a paid subscription. Subscription fees, billing cycles, and applicable taxes are described on the Services at the time of purchase. Fees are non-refundable except where required by law.
If we offer a free trial, it will automatically convert into a paid subscription at the end of the trial period unless you cancel before the renewal date. You authorize us to charge your payment method on a recurring basis until you cancel.
You are responsible for any bank fees, currency conversion costs, or other charges related to your payment.

All content, code, trademarks, logos, and other intellectual property appearing on or in the Services are owned by dpAnalyzer or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
You retain ownership of your own content. By submitting or uploading content to the Services, you grant dpAnalyzer a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content for the purpose of operating and improving the Services.
The Services may integrate with third-party platforms or services. Your use of those third-party services is subject to their own terms and policies. dpAnalyzer is not responsible for third-party services and does not guarantee their availability or performance.
We process personal data in accordance with our Privacy Policy. You agree not to use the Services to store or transmit sensitive personal information unless both parties have executed additional agreements covering such data.
Each party must protect the other's confidential information and use it only for the purpose of fulfilling its obligations under these Terms. Confidential information does not include information that becomes public through no fault of the receiving party or was already lawfully known to the receiving party.
If you provide ideas, suggestions, or feedback, you grant dpAnalyzer the right to use and incorporate that feedback without any obligation to compensate you. Feedback is not confidential.
The Services are provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, dpAnalyzer disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or free from errors or viruses.
To the fullest extent permitted by law, dpAnalyzer and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for claims arising out of or relating to the Services is limited to the fees you paid to dpAnalyzer during the 12 months prior to the event giving rise to the claim.
You agree to indemnify and hold harmless dpAnalyzer and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or any violation of these Terms or applicable law.
We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, if necessary to protect the Services, or if required by law. You may terminate your account at any time by following the instructions in your account settings. Upon termination, the rights granted to you under these Terms will end immediately.
Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We may modify, update, or discontinue any part of the Services at any time. If we make material changes that negatively impact your use of paid features, we will provide reasonable advance notice when practicable.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction in those courts.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may pursue available remedies in court.
These Terms constitute the entire agreement between you and dpAnalyzer regarding the Services and supersede all prior agreements. If any provision is deemed unenforceable, the remaining provisions will continue in full effect.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. dpAnalyzer may assign these Terms at any time in connection with a merger, acquisition, or sale of assets.
Failure to enforce any provision is not a waiver of our right to do so later. Headings are for convenience only and do not affect interpretation.
